Jon Krabbenschmidt, Novogradac & Company LLP (moderator)

Jon Krabbenschmidt is a partner in the San Francisco office of Novogradac & Company LLP. Mr. Krabbenschmidt joined Novogradac in 1991 and became a partner in the San Francisco office in 1992. Prior to joining Novogradac, Mr. Krabbenschmidt was a tax manager in the San Francisco office of Arthur Andersen & Company. He then spent five years directing financial product design and taxation for a San Francisco-based REIT organizer. Mr. Krabbenschmidt received a bachelor’s degree in business management with an emphasis in accounting, graduating in 1976 from California State University, Chico. In 1979, he received his juris doctor from the University of San Francisco and became a licensed attorney in California. He then received his license as a certified public accountant in California in 1982. Mr. Krabbenschmidt specializes in real estate and partnership accounting and taxation, assisting clients with accounting and tax compliance as well as various other consulting and tax planning activities, including review and drafting of partnership agreements, consulting on organizational structuring, financial forecasting and cost segregation studies. His clients include high-net-worth individuals, trusts and estates, market rate and affordable housing partnerships and developers, renewable energy developers and investors, new markets tax credit developers, historic tax credit developers and vineyards and wineries. He serves as the Novogradac’s general counsel and provides expert witness services and litigation support services. He has performed expert witness services in California, Colorado, Illinois, Florida, Texas, Louisiana and Nevada federal and state courts as well as arbitration cases.

Holly Heer, Barnes & Thornburg LLP

Holly H. Heer is a partner in the real estate department of Barnes & Thornburg LLP’s Columbus, Ohio, office. She represents developers, syndicators and financial institutions in partnership syndication and related transactions including entity formation, lending, asset management and workouts with a particular emphasis on transactions involving the low-income housing tax credit (LIHTC), historic tax credit (HTC) and new markets tax credit (NMTC). Ms. Heer is a frequent speaker on issues relating to tax credit syndication, which includes tax structuring for credit-oriented transactions, technical tax issues related to credit syndication and compliance, partnership negotiation issues, exit strategies for syndicated investment vehicles, and layering various subsidy and tax credit programs with each other (including HUD programs such as HOPE VI; Replacement Housing Factor Funds; Section 202, 231, 221(d)(4) and 223(a)(7) Loans; Mark to Market Financing; and Interest Reduction Payment Decouplings). She is a member of the Columbus Bar Association’s Real Property Section, the Ohio State Bar Association and the Forum on Affordable Housing & Community Development Law of the American Bar Association. Ms. Heer is admitted to practice in front of the state courts of Ohio, U.S. Circuit Court of Appeals for the Sixth Circuit and U.S. District Court for the Southern District of Ohio. She earned her juris doctor from the University Of Virginia School Of Law. She received her bachelor’s degree from Wellesley College.

Sean Leonard, Dentons

Sean Leonard is a member of Dentons’ real estate practice, concentrating on the representation of various participants in tax-advantaged investing, community development and affordable housing. The majority of his practice is focused on the representation of investors, community development entities and lenders in connection with new markets tax credit (NMTC) transactions. He also represents investors in low-income housing tax credit (LIHTC) transactions, including direct investments, investments in proprietary funds and investments in multi-investor funds. Mr. Leonard also has experience in all aspects of tax-advantaged investment portfolio management, advising clients in regard to dispute resolution, contract interpretation and prelitigation enforcement, management company and general partner removals, negotiations with lenders and governmental agencies in connection with foreclosure actions, refinancings and loan workout agreements and the sale or other disposition of aged assets. Mr. Leonard has additional broad experience in a full range of traditional corporate transactions, including mergers and acquisitions, venture capital transactions, public offerings of securities, commercial loan facilities and private placements of securities under Regulation S, Regulation D and other exemptive provisions. Mr. Leonard is a frequent speaker at NMTC and LIHTC conferences and seminars. He is also the author of numerous articles on NMTCs, LIHTCs, and various other legal topics. Mr. Leonard earned his bachelor’s degree from Springfield College and his juris doctor from Suffolk University Law School.

Thomas Stagg, Novogradac & Company LLP

Thomas Stagg is a partner in the metro Seattle office of Novogradac & Company LLP. He specializes in audit and tax services for real estate transactions. He has extensive experience with low-income housing tax credit (LIHTC) deal structuring, including assisting developers and investors in navigating acquisition and rehabilitation developments as well as Year 15 disposition issues. In addition, Mr. Stagg has assisted many clients in applying for and obtaining the LIHTC. He has extensive experience in performing IRC Section 42 tax credit property compliance testing and regularly contributes articles regarding the complexities of IRC Section 42 tax credit property compliance to the Novogradac Journal of Tax Credits, Novogradac Low-Income Housing Tax Credit Handbook and Novogradac LIHTC Property Management Handbook. Mr. Stagg is a frequently speaks at industry events and as well as Novogradac & Company LLP’s affordable housing conferences and webinars. Mr. Stagg received his bachelor’s degree in accounting from Brigham Young University. He is licensed in California and Washington as a certified public accountant.
